Welcome to MegaFFI (the “Platform”). These Terms & Conditions govern your use of our website, services, and digital products. The Platform is operated by Wolung Shop LTD, a private limited company registered in the United Kingdom under company number 08979671, with its registered office at Peterborough.
By accessing or using MegaFFI, you agree to be bound by these terms.
1. Platform Operations and Merchant of Record
1.1. Platform Hosting: The digital content, user accounts, and learning environments are hosted on a third-party service provider (Podia).
1.2. Merchant of Record: All financial transactions, checkouts, payment processing, tax calculation (VAT), and compliance are exclusively handled by our authorized reseller and Merchant of Record, LemonSqueezy.
1.3. By making a purchase or claiming a free product on MegaFFI, you also agree to LemonSqueezy’s Terms of Service and Privacy Policy. Any billing inquiries or payment disputes must be directed to LemonSqueezy.
2. User Accounts, Access Tiers, and Product Models
2.1. Account Creation: Access to the Platform requires an account. Your login identifier is the email address used during the checkout process on LemonSqueezy.
2.2. Free Tier (Starter Pack): Users may register for a free account, granting access to basic resources.
2.3. Premium Tier: Users may purchase a Premium subscription (monthly or annual). Premium access remains active only as long as the subscription is in good standing. Upon cancellation or payment failure, access to Premium areas will be revoked.
2.4. Subscriptions vs. One-Time Purchases (Lifetime Access):
- Availability: One-Time Purchases (which grant “lifetime access” to a specific product) are available to all registered users. You do not need an active Premium Subscription to purchase or access these products; a Free account is sufficient.
- Subscriptions: Canceling an active Premium subscription will revoke your access to the subscription-based content at the end of your current billing cycle.
- Independent Access: Canceling or downgrading a Premium Subscription does not affect, remove, or revoke your lifetime access to any products you have individually purchased for a one-time fee. Your lifetime access remains valid for as long as the platform is operational.
2.5. Usage Rights: The specific usage rights, limitations, and permitted applications for any One-Time Purchase are strictly governed by the individual End User License Agreement (EULA) included by the creator within that specific product or service package.
3. Affiliate Program
3.1. MegaFFI offers an Affiliate Program managed via LemonSqueezy.
3.2. Commission Rates:
- Standard Rate: Free account holders receive a base commission of 5% on referred sales.
- Premium Rate: Active Premium subscribers receive an elevated commission of 10% on referred sales. If a Premium subscription expires or is cancelled, the affiliate rate will be downgraded to the standard 5%.
3.3. Payouts: All payouts are subject to a holding period and are distributed directly by LemonSqueezy according to their payout schedule.
3.4. Suspension: We reserve the right to suspend affiliate privileges (by setting the commission rate to 0%) or reject specific commissions if we suspect fraudulent activity, spam, or violation of these Terms.
4. Creator Marketplace & Revenue Split
4.1. Approved external creators (“Creators”) may offer their digital products for sale through the MegaFFI platform.
4.2. Revenue Split (70/30): Creators receive 70% of the net revenue generated from the sale of their products. MegaFFI retains 30%.
4.3. Waterfall Calculation: The “net revenue” is calculated after the deduction of applicable taxes (VAT), LemonSqueezy processing fees, and any standard affiliate commissions (if the product was sold via an external affiliate link).
4.4. Anti-Double-Dipping Policy: Creators are strictly prohibited from using their own affiliate links to purchase or promote their own products.
- If a Creator’s product is sold through their own affiliate link, the affiliate commission for that transaction will be manually rejected and voided.
- The Creator will only receive the standard 70% Revenue Split.
- Repeated violations of this policy may result in the termination of the Creator’s marketplace privileges.
5. Intellectual Property & Licenses
5.1. All content provided by MegaFFI (including audio files, text prompts, and templates) is protected by copyright.
5.2. The specific usage rights for the provided files are strictly governed by the End User License Agreement (EULA) included in the respective downloaded product packages.
5.3. Users may not resell, redistribute, or claim ownership of any raw files downloaded from the Platform unless explicitly permitted in the attached EULA.
6. Refund Policy (Digital Goods Exemption)
6.1. Due to the immediate nature of digital downloads and instant access to the Platform’s digital resources, all sales are considered final.
6.2. By purchasing a Premium subscription or any digital product on the Platform, you expressly consent to the immediate delivery of the digital content and acknowledge that you thereby lose your 14-day right of withdrawal under the UK Consumer Contracts Regulations.
6.3. Any exceptions to this rule or refund requests are handled at the sole discretion of our Merchant of Record, LemonSqueezy, according to their refund policies.
7. Age Restrictions
7.1. By using the Platform and making a purchase, you represent and warrant that you are at least 18 years of age, or of legal age to form a binding contract in your jurisdiction.
7.2. If you are under 18, you may only use the free tiers of the Platform with the explicit consent and supervision of a parent or legal guardian.
8. Acceptable Use and Account Termination
8.1. Account Security: You are strictly prohibited from sharing your login credentials. Each account is for individual use only.
8.2. Termination: We reserve the right to suspend or permanently terminate your account, without prior notice or refund, if you are found to be sharing login credentials, engaging in fraudulent activity, posting illegal or infringing content, or otherwise violating these Terms.
9. User-Generated Content & Community Rules
9.1. If you participate in community spaces, forums, or comment sections on the Platform, you are solely responsible for the content you post.
9.2. You agree not to post any content that is illegal, defamatory, infringing on intellectual property rights, or otherwise offensive.
9.3. We reserve the right, but not the obligation, to monitor, edit, or remove any user-generated content at our sole discretion.
10. Data Protection & Privacy
10.1. Your privacy is important to us. The collection, use, and processing of your personal data (such as your email address used for account creation) are governed by our Privacy Policy.
10.2. By using the Platform, you consent to such processing in accordance with UK GDPR.
11. Modifications to the Service and Prices
11.1. We reserve the right to modify or discontinue any part of the Platform or its resources at any time.
11.2. Subscription prices are subject to change. Any price changes will be communicated to active Premium subscribers prior to their next billing cycle, allowing them to cancel before the new rates apply.
12. Limitation of Liability
12.1. The Platform and its content are provided “as is” without warranty of any kind.
12.2. Wolung Shop LTD shall not be held liable for any indirect, incidental, or consequential damages arising from the use of the Platform, the inability to access the Platform, or the reliance on any AI-generated prompts or structural templates provided.
13. Force Majeure
13.1. Wolung Shop LTD shall not be liable for any failure or delay in performance under these Terms resulting from acts or events beyond its reasonable control, including but not limited to natural disasters, acts of war, global or regional internet outages, or failures of third-party platforms (including Podia and LemonSqueezy).
14. Severability
14.1. If any provision of these Terms is found to be unenforceable or invalid under applicable law, such unenforceability or invalidity shall not render these Terms unenforceable or invalid as a whole. Such provisions shall be deleted without affecting the remaining provisions herein.
15. Governing Law
15.1. These Terms & Conditions shall be governed by and construed in accordance with the laws of England and Wales.
15.2. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
